官方 BAYC 無聊猿藏家的權利敘述
BAYC 創建公司 Yuga Labs 在網站說明其版權的開放性，官方表示，一但藏家購買該 NFT，則完全擁有它，包含藝術創作內容。三條文其一，它使用了「completely」(完全地)，概括性地描述了所有「ownership」(所有權)。
‘i. You Own the NFT. Each Bored Ape is an NFT on the Ethereum blockchain. When you purchase an NFT, you own the underlying Bored Ape, the Art, completely. Ownership of the NFT is mediated entirely by the Smart Contract and the Ethereum Network: at no point may we seize, freeze, or otherwise modify the ownership of any Bored Ape.’
Yuga Labs 也表示，藏家可無償進行使用藝術創作內容，商業用途也沒有使用限制，看起來 Yuga Labs 是將個別 NFT 的 ownership 完全賦予藏家，這樣的條款並沒有太多細則，但這也是在 2021 年初 BAYC 還乏人問津時所訂定。
後續系列 MAYC 新增條款
然而，到了新的系列 MAYC (變異猿) 就已經有更詳細的規範：你擁有你的個別 NFT 權利，但不能代表整體的 IP (智慧產權)。
‘D. MAYC/BAYC IP. Other than the rights to the Art, nothing herein gives you any rights to any other trademarks or other intellectual property rights belonging to Yuga Labs including, without limitation, to Bored Ape Yacht Club, BAYC, Bored Ape Kennel Club, BAKC, Mutant Ape Yacht Club, MAYC, and the associated logos. All of these rights are expressly reserved in the name of Yuga Labs LLC.’
Otherside 原創人物 Koda 的規則轉變
由 Yuga Labs 推出的元宇宙計畫 Otherside，其土地 Otherdeed 銷售剛落幕，其中的原創角色 Koda 十分稀缺。從 Otherside 官網中，我們看到對於 Koda 的權利規則更為詳盡：
‘(a) When Purchaser acquires a Koda, Purchaser owns all personal property rights to that Koda (e.g., the right to freely sell, transfer, or otherwise dispose of that Koda); however, such rights expressly do not include the ownership of the intellectual property rights in the Art. Such rights are licensed pursuant to Section 4 below and those terms govern. In accordance with the foregoing, at no point may we seize, freeze, or otherwise modify the ownership of any Koda.’
儘管仍是可以商用，但 Yuga Labs 表示，在藏家有不法行為或傳給非法者等不允許狀況時，有權終止其權利。在此系列中，Yuga Labs 舉列的條款，新增更多詳盡規範，包含藏家對自有藏品之衍生品的權利伸張。
‘(d) Enforcement. You will have the non-exclusive right, but not the obligation, to bring an action to enforce any infringement of any rights you hold in the Art linked to your Koda as set forth in Sections 4(a)-(c). We will have no obligation to support any such action. We may also choose to bring such an action in our sole discretion.’
藏家可以主張二創的智慧產權保護：
‘(e) Protection. You will have the right to procure registration or other intellectual property protection in the works that you create in exercising your license to the Art linked to your Koda in a manner that complies with the terms of this Agreement, including that Yuga Labs retains ownership of the underlying Art. However, you must and hereby do agree to transfer any such registration or other protection in connection with a Permitted Transfer of your Koda, unless you expressly agree otherwise in writing with the Transferee.’
Yuga Labs 表示，藝術創作是「授權」而非「轉賣」，Yuga Labs 擁有並可保留全部所有權、智慧產權和衍生權益。
‘(a) General. All rights in and to the Art not expressly provided for in this Agreement are hereby reserved by Yuga Labs. The Art is licensed, not sold. Yuga Labs owns and will retain all title, interest, ownership rights and intellectual property rights in and to the Art.’
此外，首次向 Yuga Labs 購買的藏家，在二級市場賣出或轉讓後，是否仍享有同樣權利。這次的條款中也有明列清楚：「本協議將轉讓給雙方及其允許的繼承人和受讓人，特別是任何允許的受讓人，具有約束力，並符合其利益。」
’17. General Terms. This Agreement will transfer and be binding upon and will inure to the benefit of the Parties and their permitted successors and assigns, in particular any permitted Transferee.’
結論
如果說 BAYC 是 Yuga Labs 最開放的權利條款，到稍有細則的 MAYC，最後變成有最多明文限制的 Koda ; 應可解釋為 Yuga Labs 在意識到其品牌影響力後，更專業地訂定了法務細則。並且也觀察到了在其官網上都有訂定非常詳細的 terms and conditions 和 privacy policy 這兩項明文條款，從2017年的 ICO 狂潮中誕生 white paper、roadmap、teams 必闡述，到現在注重個資、法律權益保護和 IP，真是幾經波折促長成，困難挫折真的會讓人長大，從羊變狼再到獅子王。
